These General Terms of Service ("General Terms") apply to your access to and use of the various applications, platforms, functionalities, and services (collectively, the "Service" or "Services") provided or operated by VineLink, as well as any VineLink-operated websites (hereinafter, the "Website" or "Websites"). Please read these provisions carefully in order to understand your rights and obligations. Once you begin using any of our Services or Websites, you are deemed to have thoroughly understood and agreed to be bound by these General Terms, as well as any Subscription Terms or Service-Specific Terms (discussed in Clause 2).

1. Introduction

General Overview

Thank you for choosing and trusting our Services. Before using or accessing any related content, please read these General Terms. They govern your use of all applications, software, and other services developed or operated by VineLink and its affiliates. Collectively, these are referred to as the "Service." In addition, these General Terms include the terms for your use of VineLink's Websites, which may include our main Website and any subdomains.

Subscription Model

If you opt for a paid version of our Service, it will typically operate on a subscription model. This means that once your current paid subscription period ends, the Service will renew automatically and charge you for the subsequent term, unless you cancel the auto-renewal before the payment date. Note that if you do not cancel in time, the system will assume you wish to continue using and paying for the renewed subscription.

Scope of the Terms

These General Terms, along with any other relevant documents (e.g., Subscription Terms and Service-Specific Terms), form the comprehensive set of "Terms" that govern your behavior when using our Services, as well as VineLink's obligations and rights in providing those Services.

About VineLink

In these General Terms, "VineLink," "we," "us," "the Company," or "our" refers to VineLink Limited and any affiliated entities under its control, under common control, or controlling it. Depending on when and where you subscribe to the Service, the legal contracting entity may vary slightly, which is further clarified in Clause 15 of these General Terms.

Privacy Notice

We place great importance on users' personal privacy and data security. For more details on how VineLink collects, processes, stores, and uses your personal information, please review our Privacy Policy. By reading and agreeing to these General Terms, you also acknowledge and agree to the practices described in our Privacy Policy.

2. Your Relationship with VineLink

Legal Effect

These General Terms constitute a legally binding agreement between you (or, if applicable, an organization or legal entity you validly represent) and VineLink. You indicate your agreement to be bound by any of the following actions:

  1. Successfully creating a VineLink user account and/or another type of account to access or enable our Services;
  2. Downloading our software (whether through official or third-party app stores) or using our Services and Websites by registering or logging in;
  3. Expressly agreeing to abide by these Terms in an electronic or offline format.

If you are using the Services on behalf of an organization or a company, you represent that you are duly authorized to accept these General Terms on behalf of that organization. If you do not accept or cannot fulfill any part of these Terms, please discontinue use of our Services and Websites.

Service-Specific Terms

In addition to these General Terms, certain Services may be governed by additional Service-Specific Terms. These specific provisions supplement the General Terms. In case of any inconsistency between the General Terms and a set of Service-Specific Terms, those Service-Specific Terms shall prevail for that particular Service to address relevant matters or disputes.

Free or Paid Services

VineLink may offer both free and paid versions of its Services. Regardless of whether you opt for a free or paid model, you must still abide by these General Terms and any applicable Service-Specific Terms. Paid versions involve specific rules regarding subscription, payment, auto-renewals, and cancellation, whereas free versions must likewise follow behavioral guidelines, responsibilities, and limitations of liability outlined here.

Age & Legal Authorization

To access and use our Services and Websites, you must be at least eighteen (18) years old or of the legal age of majority recognized in your jurisdiction. If you are under the minimum legal age but wish to use the Services, you must have the explicit consent or representation of a legally recognized guardian who supervises your use. In addition, if you are acting on behalf of a corporation or other entity, you must possess adequate legal authority and capacity to enter into, and comply with, these Terms on that entity's behalf.

Revisions & Updates to the Terms

We constantly work to improve and upgrade our Services and Websites, and may also need to revise these General Terms due to changes in laws and regulations, feature updates, or measures to prevent misconduct. For any changes that significantly affect your rights or obligations, we will notify you through reasonable means (e.g., email or website notification) in advance. Unless otherwise stated, the revised Terms become effective as soon as they are published. Your continued use of the Services after the revisions become effective indicates acceptance of the updated Terms. If you do not agree with the revisions, you may cease using the Services and close your account, thereby terminating your relationship with us.

3. Subscriptions and Auto-Renewals

Subscription Purchase

VineLink generally provides its paid Services through a subscription model. When you pay for the Service, you explicitly choose the billing period (e.g., monthly or yearly), confirm your payment method, and see the specific amount to be charged. These subscription details, including the payment schedule, will be shown and confirmed at the point of purchase.

Auto-Renewal

Prior to the end of your subscription period, our system will automatically renew your account and charge you for the new subscription term unless you cancel or disable auto-renewal before the renewal date. If we cannot process your payment on the due date for any reason, your Service may be paused or terminated until you update your payment information or manually renew it.

4. Your User Account

Creating an Account

To facilitate usage and management of the Services, users are typically asked to register and create a VineLink account. During registration, you must provide information including (but not limited to) an email address, a password, billing details, and your country of residence.

  • This information must be complete, accurate, and truthful.
  • If any of this information changes, you must promptly update it to maintain its accuracy.

Account Security & Responsibility

You are fully responsible for all operations and consequences under your account, regardless of whether the actions were explicitly authorized by you. To protect your account, keep your password confidential, and do not reuse the same password across multiple platforms. If you notice any unauthorized access or suspicious activity, you should immediately notify VineLink so we can investigate and take protective measures.

5. Prices and Payments

Price Components

The initial price displayed for our Services may exclude taxes. Because we operate globally, and each jurisdiction has different tax obligations, we will only finalize and display the applicable taxes (e.g., VAT or sales tax) for your region once you specify your country or region and proceed with checkout. The final amount (including any mandatory taxes) will be shown to you before payment.

Payment Requirements

By choosing a paid Service, you agree to pay any associated fees on time, including the service fee, applicable taxes, or other charges indicated upon checkout. Should VineLink be unable to charge you the owed amount, we may suspend or terminate your access to the Service. Note that losing access to the Service may be temporary or permanent, depending on whether and when you can pay the outstanding fee.

Periodic or Recurring Billing

When you agree to a subscription plan (e.g., monthly or annual), you acknowledge that VineLink is authorized to automatically charge the provided payment method on each renewal cycle. For more details on canceling or changing the billing interval, please see your Subscription Terms or refer to the relevant instructions in our app or on the Website.

Payment Methods

If you purchase the Service on our official Website or through authorized channels, you must furnish a valid payment method (which could be a credit card, debit card, digital payment service, or another option specified by us). Ensure that you have the right to use this method and that your payment information is correct and up to date.

Billing Management

When you give VineLink your payment details, you represent and warrant that:

  1. You are lawfully entitled to use the provided payment method;
  2. You permit us to charge fees for the Services you purchased or utilized against that method;
  3. You assume responsibility for all costs and charges associated with that payment method (including taxes).

You can view past invoices or generate receipts in the "Billing" or equivalent section of your VineLink account. If you have concerns or questions about billing, do not hesitate to contact us.

Payment Processing

In order to enable timely payments and guarantee uninterrupted Services, we reserve the right to:

  1. Automatically obtain and use updated credit/debit card data from card issuers or card networks (for example if your card's expiration date changes);
  2. Retry failed transactions multiple times;
  3. Change or add approved third-party payment processors for the purpose of transaction handling.

Fraud Prevention

If we suspect your actions or transaction details might indicate fraudulent activity, we reserve the right to verify or validate the payment information before completing the purchase. We may refuse to process the transaction or apply other safeguards if we uncover significant risks or discrepancies.

Price Adjustments

VineLink may periodically update its paid Service prices to reflect changes in various costs (including licensing fees, infrastructure maintenance costs, marketing expenses, tax increases, etc.). Such updates typically take effect in the next subscription cycle and do not impact your currently active subscription period. We will notify you of any forthcoming price changes via email or other reasonable means. If you disagree, you may cancel the subscription before your next renewal.

Changes to Payment Information

If your credit card or payment data changes, it is your responsibility to promptly update your VineLink account. In some instances, your issuing bank or payment service provider may automatically supply the updated details to us to help prevent payment interruptions.

Free Trials

Occasionally, we or our authorized partners may offer a free trial period to let you evaluate the paid Service at no charge.

  • If you do not cancel before the trial ends, it automatically converts into a regular paid subscription, and charges will begin.
  • To avoid unwanted charges, make sure to end the trial prior to its expiration date.
  • We also reserve the right to limit or modify these free trial promotions, for instance by allowing only one free trial per user or adjusting the length of the trial.

6. Cancellation and Refund Policy

Subscription Cancellation

You may cancel auto-renewals at any time, but usually will not be reimbursed for any unused portion of the current subscription period already paid. The specific cancellation and refund process depends on whether you purchased directly from VineLink or through a third party (e.g., an app store or a retailer). If you purchased through a third party, their own policies and cancellation workflows typically apply.

Refund Procedure

To ensure user satisfaction, we generally provide a "30-day money-back guarantee" for most of our Services. Within 30 days of your purchase, if you are dissatisfied, you may cancel and request a refund (subject to the relevant Terms or promotional conditions). However, if your subscription has been auto-renewed and exceeds the allowable refund timeframe, we typically do not issue refunds unless otherwise mandated by applicable law. Feel free to contact our customer support if you wish to discuss possible technical resolutions before proceeding with a refund request.

Refund Payment Method

Once a refund is approved, we will make reasonable efforts to return the fees via the same method of payment originally used. In some circumstances (whether technical or legal), we may provide refunds through alternative means, for example a different cryptocurrency. If you paid by prepaid card or gift card and the issuer does not support refunds, we will be unable to return the funds to that card. Once a refund is processed, you will lose access to the refunded portion of the Service.

Refund Eligibility Limitations

Under the "30-day money-back guarantee," you may only receive up to two refunds for the same Service. If you rebuy the same Service after receiving two refunds, you no longer qualify for the 30-day guarantee.

Purchases through Apple App Store

If you purchased the Service via the Apple App Store, you must follow Apple's policies on in-app transactions and refunds. VineLink cannot process refunds for Apple App Store payments. If you want to discontinue auto-renewals on the Apple App Store, you must do so in your Apple account settings. For more details, see Apple's official guidance:

Purchases through Other Channels

If you bought our Service from another third-party marketplace, retailer, or reseller, that third party's specific terms of service or policies dictate how you may request a refund or cancel. Please consult their terms or contact their customer service directly.

Auto-Renewed Subscriptions Purchased on Our Website

If you acquired an automatically renewing subscription on our official Website, you can turn off auto-renewal at any time from your VineLink account. Any unused time in your current subscription cycle will not be refunded, but you will retain access to the Service until the subscription period ends without being charged again.

7. License Terms

Software Description

Certain aspects of the Services may require you to download and install software from VineLink (including mobile, desktop, and other types of applications, plugins, or tools). In these General Terms, "Software" refers to all such solutions and any of their updates, patches, or documentation.

License Grant

Subject to your full compliance with these Terms, we grant you a limited, revocable, non-exclusive, personal, non-sublicensable, and non-transferable license to install and use the Software on devices you own or control. You do not obtain ownership rights to the Software itself—only a license to use it during a valid subscription term or the timeframe allowed by these Terms.

Apple-Specific Requirements

If you download or use our Software from the Apple App Store or on an Apple device, you must also comply with the "Usage Rules" in Apple's Media Services Terms and Conditions (or any similar provisions Apple enforces). Please note that Apple is not a party to this agreement and does not assume any direct responsibility for our Service. Should you need support, contact VineLink directly.

Rights Reserved by VineLink

All ownership, copyright, and intellectual property relating to the Software, Services, and Websites belong to VineLink or our licensors. No implied licenses or rights are granted under these General Terms beyond those explicitly stated. You shall not register or imitate VineLink's trademarks, logos, domain names, or product names without authorization.

Software Updates

The version of the Software you use may differ from the version originally available when you purchased, due to upgrades, patches, or OS compatibility considerations. Generally, we guarantee updates or support for at least two (2) years after the initial release of a specific OS version.

Feedback and Suggestions

If you provide feedback, comments, suggestions, or recommendations ("Feedback") regarding our Services or Software, you grant VineLink an irrevocable, perpetual, worldwide license to use, reproduce, modify, publish, or distribute such Feedback without any additional compensation. By doing so, you waive any potential claims or rights to such Feedback content.

8. Prohibited and Restricted Use

Legal and Policy Compliance

When accessing or using the Services and Websites, you must abide by these Terms and all applicable laws and regulations. If you engage in conduct that violates any law or these Terms, VineLink may, without prior notice, suspend or terminate your account and Services, as described in Clause 12.

Prohibited Conduct

You shall not, nor encourage or enable any third party to, engage in any of the following:

  • Use the Services or Websites for any unlawful, illegal, criminal, fraudulent, or infringing activities, including but not limited to sending spam, phishing, hacking, DDoS attacks, distributing malware, committing credit card or cryptocurrency fraud, pirating content, or laundering money;
  • Employ the Services or Websites for military purposes such as weapon development, manufacturing, or cyber warfare;
  • Interfere with or disrupt the normal operation of other networks, systems, or devices without authorization;
  • Exploit children or minors in any way, including audio, video, or digital content;
  • Violate or misappropriate the intellectual property, trade secrets, privacy rights, publicity rights, or any other rights of VineLink or a third party;
  • Transmit or disseminate illegal, obscene, threatening, hateful, harassing, or otherwise offensive or harmful materials;
  • Spread viruses, worms, trojans, time bombs, or other malicious code that endangers or disrupts systems or networks;
  • Attempt to circumvent or undermine VineLink's technological safeguards protecting content or resources;
  • Interfere with or degrade the integrity, performance, or user experience of the Services/Websites;
  • Resell, lease, sublicense, or commercialize any portion of VineLink's Services, subscriptions, or accounts;
  • Use robots, web crawlers, or automated tools to access or scrape our Websites or Services for unreasonable data loads or other unauthorized purposes;
  • Copy, imitate, or reverse-engineer the features, interface, or design elements of the Services/Websites to create similar or competing products;
  • Falsely claim you are an agent, representative, or employee of VineLink, or otherwise mislead the public about your relationship with VineLink;
  • Threaten, stalk, harm, or harass others or advocate for discrimination;
  • Attempt to gain unauthorized entry to any account, system, or network (e.g., via brute force attacks or infiltration tests);
  • Repeatedly exhibit abusive or disrespectful behavior toward VineLink's customer service or employees;
  • Attempt to access the Services after VineLink has suspended or terminated your rights to use them, whether by creating a new account or using someone else's;
  • Use the Services or Websites in violation of public morals, order, or good conduct;
  • Conduct any other acts forbidden by applicable law.

Intellectual Property & Technical Constraints

Unless expressly allowed by law, you may not reverse-engineer, decompile, or attempt to extract the source code of the Services or Software, nor may you remove or modify any copyright, trademark, or proprietary notices they contain.

User's Own Compliance Responsibility

You are solely responsible for understanding and obeying all relevant laws where you reside, as well as in any country/region through which data may pass due to your usage. VineLink assumes no liability for consequences arising from any user's failure to comply with applicable laws or regulations.

Reporting Violations

If you believe that any other user or third party is acting in violation of these Terms or the law, you can reach out to us via the methods described in Clause 18. We will evaluate the situation and take further measures at our discretion.

9. Disclaimers

Service or Website Interruptions and Defects

While we make reasonable efforts to keep the Services and Websites stable and accurate, complex software and network environments may still produce occasional downtime or bugs. We may conduct maintenance, introduce new features, or face unforeseen technical issues without incurring any liability for these interruptions or errors.

"As Is" Provision

VineLink provides the Services and Websites on an "AS IS" and "AS AVAILABLE" basis, without any express or implied warranties regarding their quality, performance, accuracy, or suitability. You assume any and all risks arising from your use of the Services. To the fullest extent permitted by applicable law, we disclaim all warranties, whether express or implied, including (but not limited to) warranties of merchantability, fitness for a particular purpose, and non-infringement. Certain jurisdictions may limit the ability to exclude certain warranties, so some of these disclaimers may not fully apply to you. You could also have additional rights under local laws.

10. Limitation of Liability

Use at Your Own Risk

You should understand and accept the inherent risks of transmitting, storing, or exchanging information via the internet. VineLink is not responsible for user activities on or through its Services or the consequences thereof.

Limitation on Damages

Under no circumstances will VineLink, its parent company, subsidiaries, affiliates, or their employees, officers, or directors be liable for any direct, indirect, punitive, special, incidental, consequential, or similar damages (including without limitation data loss, lost profits, business disruption, replacement costs, etc.) arising from these Terms or from your inability to use (or decision not to use) the Services/Websites, even if you have informed us in advance of such risks. In any event, the total aggregate liability of VineLink resulting from or related to these Terms is capped at the total amount you have actually paid to VineLink in the twelve (12) months preceding the event that gave rise to the claim, and excludes any attorney's fees or court costs. If applicable law does not permit certain liability limitations (such as for willful misconduct, gross negligence, fraud, or for personal injury), the limitations will apply only to the extent permitted by law.

Network Security and Force Majeure

Although we implement multiple security measures, the internet inherently faces threats such as malicious attacks, unforeseen events, and force majeure incidents. We advise you to use antivirus software or ensure a secure networking environment. VineLink shall not be held responsible for losses that may occur due to such events.

11. Indemnification

You agree, at your own expense, to defend, indemnify, and hold harmless VineLink, its affiliates, and their employees, officers, or agents from any damages, liabilities, claims, judgments, costs, and expenses (including but not limited to reasonable attorneys' fees and expert witness fees) arising out of or related to:

  1. Your breach of these General Terms;
  2. Any unlawful or improper act by you or someone using your account while accessing the Services/Websites;
  3. Your violation of applicable laws or regulations;
  4. Damages caused by your negligence, misconduct, or intentional wrongdoing harming others or the public interest.

If any of the above scenarios cause you to lose access to or experience disruptions with the Service, VineLink is not liable for such interruptions.

12. Suspension and Termination

Suspension or Termination by VineLink

VineLink may suspend or terminate your account and Services immediately, without notice or liability, in any of the following cases:

  1. We are unable to successfully collect subscription fees through auto-renewal;
  2. You have clearly breached any requirement of Clause 8 (Prohibited and Restricted Use);
  3. Your behavior or usage violates applicable law or regulatory rules;
  4. A governmental body, court, or other legally authorized authority instructs us to cease providing Services to you.

Opportunity to Correct or Notice

If feasible, we may attempt to contact you or allow you to correct the violation before suspension or termination. However, if the issue is severe and demands urgent action (for instance, major violations that might significantly harm VineLink or third parties), we may act immediately without prior notice.

Scope of Termination

A termination applies to the specific account or Service in question. If your account is suspended or terminated, you may not regain access by creating new accounts or using other people's accounts.

User-Initiated Termination

You may also terminate the Service at any time by following the cancellation procedure outlined in Clause 6 or by deleting your account. Please refer to our Privacy Policy for how we handle user data and personal information in such scenarios.

Effects of Suspension or Termination

Once suspended or terminated, you cannot use the corresponding Service or any related features. Any software license granted under these Terms automatically terminates, and you should remove or uninstall the Software and discontinue all further usage or attempts to access the Service.

Surviving Provisions

Certain clauses of these General Terms, including Clauses 7–17 (and any others that, by their nature, should remain in effect), will continue to be valid even after your account or Services are terminated or expire.

13. App Platform Terms

Downloading from Apple App Store

If you download our Software from the Apple App Store or use it on an Apple device, then you must also follow Apple's relevant policies and usage rules. Please be aware:

  • These Terms are between you and VineLink, not Apple;
  • Apple does not guarantee or warrant the quality or content of the Service, and has no obligation to maintain or support it;
  • If legal or infringement issues arise, VineLink (not Apple) is the responsible entity;
  • You affirm you are not located in a country embargoed by the U.S. government or on any U.S. government restricted party lists.

Other Platforms or App Stores

If you download the Software from Google Play, Amazon Appstore, Microsoft Store, HUAWEI AppGallery, or other distribution channels, you must comply with their separate terms or developer policies. Ownership and licensing for our Software remain with VineLink, and these Terms continue to govern your usage, unaffected by any platform-specific disclaimers.

14. Bundled Subscriptions

Bundling Multiple Services or Third-Party Services

In certain cases, we combine one or more VineLink Services with another VineLink or third-party offering into a single subscription package ("Bundled Subscription").

Purchasing Third-Party Services through VineLink

If you choose a Bundled Subscription that includes third-party products or services (e.g., Incogni from Surfshark), that third party is responsible for its respective products' or services' operation. You pay VineLink at checkout, but you still must follow the third party's own Terms of Use. In the event of a conflict or inconsistency concerning subscription payments, auto-renewals, prices, payment failures, or cancellations/refunds, VineLink's published Terms take precedence.

Cancellation of Bundled Subscriptions

You may cancel your Bundled Subscription at any time; however, doing so will end all Services included in that bundle (including any third-party services). You cannot selectively continue only some items within the bundled package.

If you first purchased VineLink Services before November 15, 2024, the contracting entity is VineLink Inc;

16. Governing Law and Dispute Resolution

Governing Law

These General Terms are governed by, and construed in accordance with, the laws of Singapore. If you have any disputes arising from your use of the Services, you should first seek a resolution through VineLink's complaint or dispute procedure outlined in these Terms.

Arbitration

Should any dispute remain unresolved after good-faith negotiations, it shall be referred to the Singapore International Arbitration Centre ("SIAC") for arbitration under SIAC's current rules. Unless otherwise stipulated in these Terms:

  • One (1) arbitrator shall conduct the proceedings;
  • The seat and legal place of arbitration will be Singapore;
  • The arbitration language is English;
  • The arbitrator's decision is final and binding on both parties.

Waiver of Other Jurisdiction

You explicitly and irrevocably waive any right to submit disputes or claims to courts or arbitration tribunals located outside Singapore, unless required by mandatory law.

Pre-action Communication

We encourage you to contact us via email at support@vinevpn.com or through our Website's support channels before resorting to formal legal action, to give us a chance to resolve the issue amicably and efficiently.

Online Dispute Resolution in the EU

If you reside within the European Union or Switzerland, you can also submit any unresolved disputes to the European Commission's Online Dispute Resolution (ODR) platform:

17. Class Action Waiver

Where permissible by law, both you and VineLink agree that each may only bring claims against the other in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding. Absent express written consent by both parties, arbitrators or judges shall not consolidate the claims of multiple persons or preside over any form of representative or class litigation.

18. Other Provisions

Service Availability and Network Conditions

Actual service coverage, connection speeds, and quality may vary based on various factors beyond our control. VineLink will use commercially reasonable efforts to ensure stable Services, but we bear no responsibility for unanticipated downtime or disruptions caused by force majeure, regional outages, or unforeseeable technical issues.

Service Modifications and Discontinuation

VineLink reserves the right to modify, expand, reduce, or discontinue the Services at any time in line with operational or technical needs. If we permanently discontinue a paid Service—except in cases of your breach or a government directive—we will provide a reasonable prorated refund for any unused portion of your current subscription period (assuming your account information remains accurate). We are not liable for disruptions caused by external or uncontrollable events.

Severability

If any portion of these Terms is deemed invalid or unenforceable by a court or regulatory authority of competent jurisdiction, the remaining provisions shall remain in full force and effect.

Assignment and Changes

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written approval. VineLink is entitled to transfer or delegate its rights or obligations (in whole or in part) under these Terms to its affiliates or a third party at any time without prior notice to or consent from you.

Data and Communication Costs

When using our Services or Websites, you may incur data usage or text message fees charged by your network operator or internet service provider. You are solely responsible for any such additional costs.

Third-Party Components

To support certain functionalities, VineLink's Services or Websites may incorporate or interact with third-party programs, links, content, or other elements ("Third-Party Components"). These third-party resources are the responsibility of their respective owners, and we make no warranties regarding their performance or compliance.

Links and Reproduction

You may link to VineLink's Websites provided that such linking is lawful, does not damage VineLink's reputation, and does not misleadingly suggest any endorsement or association. If you wish to reproduce, quote, or republish content (e.g., text, images, data) from our Websites, you must obtain our prior authorization and comply with any applicable copyright policies.

Communication with VineLink

You may communicate with us via customer support channels or email. We may also communicate with you electronically (through emails, website announcements, in-app notifications, text messages, etc.) regarding subscription updates, feature changes, or other necessary notices. Once we send such notices, you are deemed to have received and understood them.

Network Connectivity Requirements
